Service Terms

Introduction

These Service Terms govern the provision of web design, development, branding, marketing, and consulting services ("Services") by CONNECTIVE WEB DESIGN LLC ("Company," "we," "our," or "us") to clients ("Client," "you," or "your").

Scope of Services

The specific Services to be provided will be outlined in a Statement of Work (SOW) or project proposal agreed upon by both parties. The scope may include, but is not limited to:

• Web design and development
• Branding and visual identity
• Digital marketing services
• SEO and content strategy
• Consulting and advisory services
• Ongoing maintenance and support

Project Timeline

Project timelines will be specified in the SOW. We will make reasonable efforts to meet agreed-upon deadlines. However, timelines may be adjusted if:

• Client delays in providing required materials or feedback
• Scope changes or additional requests are made
• Unforeseen technical challenges arise
• Force majeure events occur

Deliverables

Deliverables will be specified in the SOW and may include design files, website files, documentation, training materials, and other agreed-upon items. All deliverables remain the property of the Company until full payment is received.

Client Responsibilities

To ensure successful project completion, the Client agrees to:

• Provide timely access to necessary materials, content, and resources
• Respond to requests for feedback and approvals within agreed timeframes
• Designate a primary point of contact for project communication
• Provide accurate and complete information
• Ensure all provided content does not infringe on third-party rights
• Make timely payments according to the agreed payment schedule

Change Requests

Changes to the agreed scope of work may be requested by either party. All change requests must be submitted in writing and will be evaluated for impact on timeline and cost. Approved changes will be documented in a revised SOW or change order.

Additional fees may apply for scope changes that require additional work beyond the original agreement.

Review and Approval Process

The Client will have the opportunity to review deliverables at agreed-upon milestones. The number of revision rounds will be specified in the SOW. Additional revisions beyond the agreed number may incur additional fees.

Client approval must be provided in writing (email is acceptable). Failure to provide feedback within the specified timeframe (typically 5-7 business days) will be considered approval.

Acceptance

Upon completion of the Services, the Client will have a specified period (typically 7-14 days) to review and test the deliverables. The Client must notify us in writing of any defects or non-conformities during this period.

If no notification is received within the acceptance period, the deliverables will be deemed accepted. We will correct any material defects identified during the acceptance period at no additional cost.

Intellectual Property

Upon receipt of full payment, the Client will own the final deliverables created specifically for the project. However, we retain ownership of:

• Pre-existing materials and tools
• General methodologies and processes
• Code libraries and frameworks
• Templates and reusable components

We reserve the right to use the project in our portfolio and marketing materials unless otherwise agreed in writing.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation survives the termination of the service agreement.

Warranty

We warrant that Services will be performed in a professional and workmanlike manner. For a period of 30 days following project completion, we will correct any defects in the deliverables at no additional cost, provided the defect is not caused by Client modifications or third-party actions.

Termination

Either party may terminate the service agreement with written notice if the other party materially breaches the agreement and fails to cure the breach within 15 days of written notice.

Upon termination, the Client shall pay for all Services performed up to the termination date. The Company will provide the Client with work completed to date upon receipt of payment.
